Welcome to RCJ Consulting, L.L.C.. These Terms and Conditions ("Terms") govern your use of our website, www.rcjnj.com, and any leadership consulting services, workshops, coaching sessions, or digital materials I provide (collectively, the "Services").
By accessing my website or engaging my Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Services & Engagement

Scope of Work: The specific leadership consulting, coaching, or training services to be provided will be outlined in a separate Statement of Work (SOW) or Services Agreement signed by both parties.

No Guarantees: While I strive to provide high-quality strategies and insights, leadership development depends heavily on individual implementation. I do not guarantee specific financial, professional, or organizational outcomes.
2. Payment Terms

Fees: You agree to pay the fees established in your specific service agreement or billing invoice.

Invoicing & Late Fees: Invoices are due upon receipt unless otherwise specified. I reserve the right to charge interest at a rate of 1.5% per month (or the maximum allowed by law) on any past-due balances.

Refund Policy: Due to the customized nature of consulting and coaching services, all payments are non-refundable unless explicitly stated otherwise in a separate written agreement.
3. Intellectual Property (IP)

Our Materials: I retain all rights, title, and interest in our proprietary methodologies, frameworks, presentations, worksheets, and digital content provided during the Services. You are granted a limited, non-exclusive, non-transferable license to use these materials for your personal or internal business development.

Restrictions: You may not copy, redistribute, resell, or commercially exploit any of my intellectual property without our express written consent.
4. Confidentiality

Mutual Confidentiality: Both parties agree to keep all proprietary business information, financial data, and personal insights shared during the consulting relationship strictly confidential.

Exceptions: Confidential information does not include information that is already public, independently developed, or required to be disclosed by law.
5. Cancellations and Rescheduling

Coaching & Consulting Sessions: I require at least 24 hours' notice to reschedule a scheduled one-on-one session. Cancellations made with less than 24 hours' notice may forfeit the session fee.

Workshops & Corporate Training: Cancellation terms for large group sessions or corporate contracts will be strictly governed by your specific Statement of Work.
6. Limitation of Liability

To the maximum extent permitted by law, RCJ Consulting, L.L.C. shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising out of your use of our Services.

My total liability for any claim arising under these Terms shall not exceed the total amount actually paid by you to me for the specific service in question.
7. Termination

Either party may terminate a service agreement upon written notice if the other party breaches these Terms and fails to cure the breach within 14 days of receiving notice.

Upon termination, you remain responsible for paying for all services rendered up to the effective date of termination.
8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

Any disputes arising out of these Terms shall first be attempted to be resolved through good-faith mediation. If mediation fails, disputes shall be settled in the state or federal courts located in Bergen County, New Jersey.
9. Changes to These Terms

I reserve the right to modify these Terms at any time. Any changes will be posted on this page with an updated "Last Updated" date. Your continued use of our Services after changes are posted constitutes acceptance of the new Terms.
